These Terms of Use ("Terms") govern your access to and use of the website, platform, and related services (collectively, the "Platform") provided by The Script Health, LLC ("The Script," "we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, each of which is incorporated by reference.

If you do not agree to these Terms, do not use the Platform.

Description of Services

The Script operates a healthcare staffing platform that connects licensed healthcare clinicians with temporary and permanent positions at healthcare facilities. Our services include job search and discovery, application management, an employee portal for placed clinicians, and professional resources.

The Script is the employer of record for clinicians placed through our staffing services. Placed clinicians are W-2 employees of The Script. These Terms govern your use of the Platform; employment terms are covered by separate placement and employment agreements.

The Platform is provided free of charge to clinicians. Healthcare facilities pay for staffing services.

Eligibility

To use the Platform, you must be at least 18 years of age, have the legal right to work in the United States, and hold appropriate professional licenses for the positions you seek. By using the Platform, you represent and warrant that you meet all eligibility requirements.

Account Registration and Security

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. We strongly encourage enabling multi-factor authentication (MFA) for enhanced account security.

You agree to notify us immediately at hello@thescript.health if you believe your account has been compromised or if you become aware of any unauthorized use of your account.

Electronic Communications and SMS Consent

E-SIGN Act Consent: By creating an account, you consent to receive electronic communications from The Script, including notices, agreements, disclosures, and other communications, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act). You agree that electronic communications satisfy any legal requirement that such communications be in writing.

SMS Consent: By providing your phone number and opting in to SMS notifications, you expressly consent to receive text messages from The Script. Types of messages include authentication codes, assignment notifications, and job alerts. Message frequency varies based on your activity and preferences. Message and data rates may apply.

You may opt out of SMS notifications at any time by replying STOP to any message. Opting out of SMS will not affect your account status but may limit the types of notifications you receive. Authentication codes sent via SMS for multi-factor authentication are essential to account security and are sent only when you initiate a login.

Acceptable Use

You agree to use the Platform only for its intended purposes and in compliance with all applicable laws and regulations. You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation.

Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Interfere with or disrupt the Platform or the servers or networks connected to the Platform.

Attempt to gain unauthorized access to any portion of the Platform or any systems or networks connected to the Platform.

Use any automated means, including bots, scrapers, or crawlers, to access the Platform without our express written permission.

Transmit any viruses, malware, or other malicious code.

Harvest or collect personal information of other users without their consent.

Credential Misrepresentation

Misrepresentation of professional credentials, licenses, certifications, or qualifications is grounds for immediate termination of your account and any active placements without prior notice. The Script reserves the right to report suspected credential fraud to relevant state licensing boards, regulatory agencies, and law enforcement authorities.

You acknowledge that credential fraud may constitute a criminal offense under applicable state and federal law. The Script independently verifies all credentials through primary source verification; your representations on the Platform do not substitute for our verification process.

Intellectual Property

The Platform and all content, features, and functionality — including text, graphics, logos, icons, images, audio, video, software, and the compilation thereof — are the exclusive property of The Script or its licensors and are protected by copyright, trademark, and other intellectual property laws.

User Content

By uploading or submitting content to the Platform (including resumes, documents, and profile information), you grant The Script a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute that content as necessary to provide and improve our services. This license survives termination of your account to the extent necessary for regulatory retention obligations and extends to sharing your professional information with healthcare facilities for placement purposes at your direction.

The Script may create anonymized and aggregated data derived from user content and Platform usage. Such anonymized data does not identify you personally and may be used for analytics, research, and service improvement without restriction.

Healthcare Industry Disclaimers

The Script is a healthcare staffing agency, not a healthcare provider. We do not provide medical advice, diagnosis, or treatment. Compliance with all applicable licensing laws, scope-of-practice requirements, and continuing education obligations is your responsibility.

Facility requirements, protocols, and credentialing standards vary. It is your responsibility to understand and comply with the requirements of each facility where you are placed.

The Script provides professional liability insurance for clinicians placed through our services. Details regarding coverage limits, scope, and terms are provided in your placement agreement.

No-Guarantee Disclaimers

The Script does not guarantee employment, continued placement, specific pay rates, specific locations, or assignment availability. Assignments are subject to facility needs, credential verification, and other factors. The Script may remove a clinician from an assignment at any time for legitimate business, safety, or compliance reasons.

Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SCRIPT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SCRIPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

THE SCRIPT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF ONE THOUSAND DOLLARS ($1,000) OR THE TOTAL COMPENSATION AND STIPENDS YOU RECEIVED FROM THE SCRIPT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless The Script, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, your violation of any law or regulation, or your violation of any rights of a third party.

Termination

Suspension: The Script may temporarily suspend your account pending investigation of potential Terms violations, safety concerns, or credential issues. You will be notified of the suspension and the reason for it unless prohibited by law or where notification would compromise the investigation.

Termination: Either party may terminate your account. The Script will provide reasonable notice of termination except in cases of fraud, credential misrepresentation, safety risk, or legal requirement, in which case termination may be immediate. You may terminate your account at any time by contacting us.

Effect of Termination: Upon termination, you have 30 days to export your data from the Platform. If you have in-progress placements at the time of termination, The Script will work with you and the facility to ensure appropriate transition of patient care responsibilities.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemic, war, terrorism, government actions, labor disputes, power failures, internet disruptions, or cyberattacks.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles.

Dispute Resolution

Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at hello@thescript.health and attempt to resolve the dispute informally for a period of at least 30 days.

Binding Arbitration: If the dispute is not resolved informally, either party may submit the dispute to binding arbitration in King County, Washington, administered under the American Arbitration Association (AAA) Consumer Arbitration Rules. For claims under $10,000, The Script will bear the arbitration filing fees.

Small Claims Court: Either party may bring claims in small claims court in King County, Washington, if the claims qualify for small claims jurisdiction.

Class Action Waiver: All disputes must be resolved on an individual basis. You agree to waive your right to participate in any class action, collective action, or representative action.

Opt-Out Right: You may opt out of this arbitration provision by sending written notice to hello@thescript.health within 30 days of creating your account. The notice must include your name, account email address, and a clear statement that you wish to opt out of the arbitration provision.

Assignment

The Script may assign or transfer these Terms and its rights and obligations hereunder, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets, without your consent. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent.

Modifications

We may modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on the Platform with an updated effective date and, for material changes, by sending notice to your registered email address at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any applicable placement or employment agreements, constitute the entire agreement between you and The Script regarding your use of the Platform and supersede all prior agreements and understandings.

Waiver

The failure of The Script to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.

Notices

Formal notices under these Terms will be delivered via email to the address registered with your account or through the Platform's notification system. You are responsible for maintaining a current email address on your account.
